PROPERTY LOCATION

From the intersection of State Route 34 and State Route 49 at the stoplight in Edon, travel east 1.9 miles on State Route 34 to the property. The property is on the southeast corner where State Route 34 turns south. (The county road names at this corner Williams Co. J and Williams Co. 5.) Watch for signs.

AUCTION LOCATION

Moose Family Center, Lodge 312, 115 North Airport Road, Montpelier, OH 43543. The Lodge is located on the northwest corner of North Airport Road (Co. Rd. 13) and East Main Street (St. Rd. 107). From downtown Montpelier, OH, travel 1.5 miles east on Main Street (St. Rd. 107) to Airport Road. Turn north to the Moose Lodge.

TRACT DESCRIPTIONS

Tract 1: 24± ac of productive tillable land. This tract has frontage on both State Route 34 and Williams County Road J. The predominate soil types are Blount loam and Pewamo loam.

Tract 2: 71.5± ac which includes 15 +/- acres of C.R.P. The tillable land consists of mostly Blount, Haskins and Rawson soil types. There are approximately 5.2 acres of wooded land on the southeast corner of Tract 2.

PROCEDURE: The property will be offered in 2 individual tracts and as a total 95.5 +/- acre unit. There will be open bidding during the auction as determined by the Auctioneer. Bids on individual tracts and the total property may compete.

DOWN PAYMENT: 10% down payment on the day of auction for individual tracts or combination of tracts. The down payment may be made in the form of cashiers check, personal check, or corporate check. Your bidding is not conditional upon financing, so be sure you have arranged financing, if needed, and are capable of paying cash at closing.

ACCEPTANCE OF BID PRICES: Successful bidder(s) will be required to enter into purchase agreement at the auction site immediately following the close of the auction. All final bid prices are subject to the Sellers acceptance or rejection.

EVIDENCE OF TITLE: The Seller agrees to furnish Bidders a preliminary title opinion to review. If Buyer(s) elect to have title insurance, the entire cost of the owners title insurance will be the responsibility of the Buyer(s). Seller agrees to provide merchantable title to the property subject to matters of record, general conditions of title, and similar or related matters. All tracts sold AS IS.

DEED: A Warranty deed will be delivered at closing.

CLOSING: Closing shall take place 30 days after auction date, or as soon thereafter as applicable closing documents are completed.

POSSESSION: At closing with tenants rights of the cropland.

REAL ESTATE TAXES: Buyer will assume taxes due and payable in 2013 and thereafter. Buyer pays any ditch assessments due after closing.

ACREAGE: All boundaries are approximate and have been estimated based on current legal descriptions.

SURVEY: A new survey will be made where there is no existing legal description or where new boundaries are created by the tract divisions in this auction. Buyer(s) and Seller shall share survey expense 50:50.

EASEMENTS: Sale of the property is subject to any and all easements of record.

MINERAL RIGHTS: The sale shall include 100% of the mineral rights owned by the Seller.
