AUCTION TERMS & CONDITIONS:
Buyers PREMIUM: A buyer's premium of 7% will be added to the final bid price to determine the contract purchase price.
PROCEDURE: There are 3 separate Farms. Farms A, B & C. Each farm may be purchased by bidding on individual tracts any combination of tracts or on all 3 farms together. There will be open bidding on all tracts and combinations during the auction as determined by the auctioneer. The property will be sold in the manner resulting in the highest total sale price.
SWING TRACTS: Tracts 5, 6, 11 & 13 are Swing Tracts and must be purchased with any adjoining tract having road frontage or by an adjoining landowner.
DOWN PAYMENT: 10% of the contract sales price as down payment on the day of the auction with balance in cash at closing. The down payment may be in the form of cash, cashier's check, personal check or corporate check. YOUR BIDDING IS NOT CONDITIONAL UPON FINANCING, SO BE SURE YOU HAVE ARRANGED FINANCING, IF NEEDED, AND ARE CAPABLE OF PAYING CASH AT CLOSING.
APPROVAL OF BID PRICES: All successful bidders will be required to enter into purchase agreements at the auction site immediately following the close of the auction. All final bid prices are subject to the Sellers acceptance or rejection.
DEED: Seller will provide an appropriate deed of conveyancer.
EVIDENCE OF TITLE: Seller will provide title insurance in the amount of the purchase price.
CLOSING: Closing shall take place on or before September 30, 2008.
POSSESSION: At closing on buildings and non-tillable land and after harvest on the cropland.
REAL ESTATE TAXES: The Seller shall pay the 2007 real estate taxes, due in 2008. The Buyer shall pay all taxes thereafter.
DITCH ASSESSMENTS: The Seller shall pay 2008 ditch assessments due, if any. Buyer shall pay all ditch assessments due there after if any.
SURVEY: The Seller shall determine any need for a new survey. Any new survey provided shall be for the perimeter only, when tracts are combined. Closing prices shall be adjusted to reflect any difference between advertised and surveyed acres, except on tracts of l5 acres or less or a combination including buildings. The survey costs shall be shared 50:50 between Buyer(s) and Seller.
EASEMENTS: The sale of the property is subject to any and all easements of record. A perimeter tile drainage easement shall be given to buyers of building sites.
